Corporate Terms of Service
1. PARTIES AND SUBJECT
This Archmir Corporate Service Agreement ("Agreement") is entered into between Archmir Teknoloji A.Ş. ("Provider") and the corporate customer ("Customer") accessing the Archmir API. The subject is the determination of terms of use for the SaaS-based AI vehicle damage detection services offered by the Provider.
2. DEFINITIONS
- Service: AI-based vehicle damage detection platform and APIs provided by the Provider.
- Customer Data: All images, videos, logs, and metadata uploaded by the Customer.
- Output: JSON responses, damage results, scores, and reports generated by the Service.
- AI Models: Algorithms and neural networks owned by the Provider.
- API Key: Confidential authentication key for Service access.
3. SCOPE OF SERVICE
3.1 The Provider grants access to damage detection AI APIs, documentation, and support as per the Order Form.
3.2 The Service is SaaS via remote access; no rights to source code or physical infrastructure are granted.
4. ACCESS, AUTHENTICATION AND SECURITY
4.1 Authentication
Access is via OAuth 2.0 or API Keys. Credentials are for Customer's use only.
4.2 Customer Obligations
The Customer must keep keys confidential and is responsible for all account activity. Unauthorized access must be reported immediately.
4.3 Security Tests
Unauthorized penetration testing, vulnerability scanning, or load testing is prohibited without written permission.
5. LICENSE AND USAGE TERMS
5.1 License
A limited, non-exclusive, non-transferable license is granted for internal business use only.
5.2 Acceptable Use
The Service cannot be used to train competing AI models, for systematic benchmarking, or for DDoS attacks. Reverse engineering is strictly prohibited.
6. IMAGE QUALITY AND RESPONSIBILITY
The Customer must upload images meeting minimum resolution and lighting standards. The Provider does not guarantee accuracy or SLA performance for low-quality inputs.
7. INTELLECTUAL PROPERTY AND DATA USE
7.1 Provider’s Rights
All IP rights regarding the Service, APIs, and AI Models belong to the Provider.
7.2 Training Data License (Anonymized)
The Customer retains ownership of Customer Data but grants the Provider a license to process it for service delivery and to use it for training and improving AI models after it has been anonymized. Anonymized data is not considered personal data.
8. CONFIDENTIALITY AND DATA PROTECTION
Parties agree to protect confidential information. Processing complies with KVKK/GDPR. The Customer is responsible for end-user consents.
9. SLA AND SUPPORT
Target 99.5% uptime per month. Support response times are defined based on severity (Critical, High, Low).
10. WARRANTY DISCLAIMER AND LIABILITY
10.1 "AS-IS"
The Service is provided "AS-IS". No guarantee of uninterrupted or error-free service is made.
10.2 Probabilistic Nature
AI outputs are estimates, not final judgments. The Customer is liable for commercial decisions. The Provider is not liable for indirect damages.
10.3 Liability Cap
Liability is limited to the total fees paid in the last 12 months.
11. INDEMNIFICATION
The Customer indemnifies the Provider against claims arising from IP violations, misuse, or data breaches caused by the Customer.
12. TERM AND TERMINATION
Valid for the Order Form term. Terminable for uncured material breach (30 days). Data is deleted or anonymized upon termination.
13. DISPUTE RESOLUTION
Governed by Turkish Law. Jurisdiction: Istanbul (Çağlayan) Courts and Execution Offices.
14. FORCE MAJEURE
Obligations are suspended during events beyond reasonable control (disasters, war, etc.).
15. ASSIGNMENT
The Customer cannot assign the Agreement without consent. The Provider may assign to affiliates.
16. NOTIFICATIONS
Notifications via registered email (KEP) or addresses in the Order Form.
